Biography

Nicholas Chong is a senior partner in the Dentons Rodyk Corporate group. He is a corporate and capital markets lawyer, with a focus on real estate investment trusts (REITs), debt capital markets and structured products. In addition to Singapore, he has worked in London (with a Magic Circle firm) and Malaysia.

Nicholas has advised underwriters and REITs on initial public offerings (IPOs), real estate acquisitions and disposals, equity fundraising exercises (including rights issues), convertible bonds, establishments of, and drawdowns under, medium term note programs, bank financing transactions (both secured and unsecured) and securitizations.

Nicholas has been named as a Leading Individual in the Capital Markets category in Chambers Asia Pacific and Chambers Global since 2010. He has been cited by Chambers as “a brilliant and extremely hard-working REITs lawyer,” with the comment that “Sources praise his international mindset and thorough approach.” Chambers has also described him as being “Recognised for [his] strong knowledge of regulatory issues and practical approach” and winning “praise for [his] debt expertise.” Sources also say that Nicholas is known for his “extensive experience in REIT transactions,” “offers sensible and constructive solutions” and “is very sound in terms of legal knowledge.”

Nicholas advised on the following award-winning matters:

  1. Advising Keppel-KBS US REIT Management Pte. Ltd, as manager of Keppel-KBS US REIT, in the grant of unsecured term and revolving facilities in an aggregate amount of up to US$339.4 million to Keppel-KBS US REIT by various lenders for the acquisition of 11 commercial properties located in the US. The REIT manager is a joint venture between Singapore-based Keppel Corporation Limited and US-based KBS Pacific Advisors. This was the second largest REIT IPO listed on the Singapore Exchange for 2017 and is the second US office REIT listed on the Singapore Exchange. This matter was awarded “Equity Market Deal of the Year (Midsize)” at the Asian Legal Business (ALB) SE Asia Law Awards 2018.
  2. Advising RBC Investor Services Trust Singapore Limited, as trustee of ESR-REIT, in the merger of the stapled securities of Viva Industrial Trust and the units in ESR-REIT, via the acquisition by ESR-REIT of all the stapled securities held by the stapled securityholders of Viva Industrial Trust by way of a trust scheme of arrangement, and in connection with the merger, the unsecured facilities obtained from a syndicate of banks. This is the first merger of two listed REITs in Singapore. This matter was the winner of the M&A Deal of the Year (Midsize) 2019 at the Asian Legal Business SE Asia Law Awards.
